๐Ÿ“ฑ END USER LICENSE AGREEMENT

This End User License Agreement ("EULA" or "Agreement") is a legally binding agreement between you ("User," "End User") and WeMall Inc. ("Licensor," "WeMall," "we") governing your use of the WeMall Buyer App, WeMall Seller App, and WeFast Rider App (collectively, "Applications") on any mobile or desktop device. By downloading, installing, or using any Application, you agree to be bound by this EULA in its entirety. This EULA supplements and incorporates by reference WeMall's Customer Terms of Service, Privacy Policy, and any other applicable agreements.

This EULA is between you and WeMall, NOT Apple Inc. Apple has no obligation to furnish maintenance or support for the Application. Apple is not responsible for any product claims, liability, or legal compliance requirements.

This EULA is between you and WeMall, NOT Google LLC. Google has no obligation regarding this Application. All support, warranty, and claims must be directed exclusively to WeMall.

1. License Grant

1.1 Scope of License

Subject to your compliance with this EULA, WeMall grants you a personal, non-exclusive, non-transferable, revocable, limited license to: download, install, and use the Application on one (1) or more mobile devices or computers that you own or control, solely for your personal, non-commercial use, in accordance with this EULA and applicable App Store terms.

1.2 Reservation of Rights

WeMall and its licensors reserve all rights not expressly granted to you in this EULA. The Application is licensed, not sold. Nothing in this EULA grants you any ownership of or title to the Application or its underlying code. WeMall retains all intellectual property rights in and to the Application, including all copies, updates, patches, and derivative works.

1.3 Platform Usage Rules

Your use of the Application is also governed by: (a) Apple's App Store Terms of Service (for iOS users); (b) Google Play's Developer Distribution Agreement (for Android users); and (c) WeMall's Customer Terms of Service, Privacy Policy, and any other policies incorporated by reference. In case of conflict, the App Store platform's mandatory rules take precedence where legally required.

2. License Restrictions

You agree that you will NOT, and will not permit or facilitate any third party to:

  • Copy, reproduce, distribute, publicly display, publicly perform, or create derivative works of the Application or any part thereof.
  • Reverse-engineer, decompile, disassemble, translate, or attempt to derive the source code, underlying ideas, algorithms, or structure of the Application.
  • Remove, alter, or obscure any proprietary rights notice, copyright notice, trademark notice, or other notice of WeMall's ownership embedded in the Application.
  • Use the Application to build or benchmark a competing product or service, or for any other competitive intelligence purpose.
  • Sublicense, sell, resell, transfer, assign, or commercially exploit the Application or any access to it.
  • Use the Application for any purpose that is unlawful, fraudulent, harmful, abusive, or violates any third-party rights.
  • Use automated bots, scrapers, crawlers, or other automated means to access the Application or extract data from it.
  • Circumvent, hack, or attempt to override any authentication, digital rights management (DRM), or security mechanism of the Application.
  • Introduce malware, viruses, worms, Trojan horses, or any other malicious code into the Application or its supporting infrastructure.
  • Use the Application in any environment where failure could lead to death, bodily injury, property damage, or environmental harm (e.g., critical safety systems, medical devices).

3. Section 230 Safe Harbor & UGC Immunity

PLATFORM IMMUNITY NOTICE โ€” SECTION 230 CDA

WeMall is an "interactive computer service" as defined under Section 230 of the Communications Decency Act (47 U.S.C. ยง 230) and the Digital Millennium Copyright Act (DMCA). WeMall is NOT the publisher, editor, or speaker of any third-party content posted, listed, reviewed, or communicated by users on the Platform. WeMall is therefore immune from civil liability arising from third-party content published or transmitted through the Platform.

3.1 No Liability for User Content

WeMall shall not be held liable for any content created, posted, or transmitted by Users, Sellers, or Riders through the Application, including but not limited to: product descriptions, product reviews and ratings, promotional claims made by Sellers, in-app messages between users, profile information, and any other user-generated content ("UGC"). Each user is solely responsible for the content they generate and any legal consequences arising from it.

3.2 Good Samaritan Moderation Rights

WeMall reserves all rights โ€” in its sole discretion and without any obligation โ€” to review, filter, flag, edit, refuse, remove, or restrict access to any content that WeMall determines, in its absolute discretion, to be unlawful, harmful, obscene, defamatory, infringing, or otherwise objectionable. WeMall's decision to moderate or decline to moderate any content does not create liability for WeMall or waive any immunity available under applicable law.

3.3 DMCA Safe Harbor

WeMall qualifies for the Online Service Provider safe harbor provisions of the DMCA (17 U.S.C. ยง 512) with respect to copyright infringement claims arising from user-uploaded content. WeMall will respond expeditiously to properly submitted DMCA takedown notices. Copyright infringement claims should be submitted to WeMall's designated DMCA Agent at: dmca@wemall.com, including all required elements under 17 U.S.C. ยง 512(c)(3).

4. License Termination & App Bans

4.1 WeMall's Right to Revoke License

WeMall reserves the right to terminate your license to use the Application at any time, immediately, without prior notice, without cause, and without liability, in the following circumstances (including but not limited to): violation of this EULA or any WeMall policy; abusive, harassing, or fraudulent behavior; posting or selling prohibited content or items; failure of a background check or identity verification; repeated policy violations or dispute abuse; engagement in activity that WeMall determines in its sole discretion poses a safety risk to other users or the platform.

4.2 Device & IP Address Bans

In addition to account termination, WeMall reserves the right to implement device-level bans (blocking specific device hardware identifiers, including IMEI, UDID, and advertising IDs) and IP address bans for users who violate this EULA or WeMall's policies. Device bans prevent the installation or use of any WeMall or WeFast Application on the banned device, even with a new account. Attempting to circumvent a device ban by resetting a device or using a different identifier is a violation of this EULA.

4.3 Apple App Store Safety Compliance

In compliance with Apple App Store Review Guideline 1.1 (Objectionable Content) and Guideline 5.6 (Developer Code of Conduct), WeMall maintains a zero-tolerance policy for: (a) content that demeans, discriminates, or threatens individuals or groups based on protected characteristics; (b) realistic depictions of violence or dangerous activities; (c) sexual or adult content; and (d) user-generated content that violates Apple's policies. Users generating such content will be immediately banned from all WeMall Applications.

4.4 Consequences of Termination

Upon license termination: (a) your right to use the Application ceases immediately; (b) you must uninstall all copies of the Application from your devices; (c) any data associated with your account may be deleted after the applicable retention period; (d) any outstanding wallet balance or credits may be forfeited if the termination is due to violation of this EULA or any WeMall policy. Termination does not relieve you of any obligations incurred prior to termination.

5. Content Moderation & Objectionable Content

5.1 Moderation Mechanism

WeMall maintains a Trust & Safety team and deploys automated AI tools to monitor content across the Application. The following categories of content are subject to removal and may result in account action: defamatory statements or false claims; content that constitutes or facilitates fraud, scams, or impersonation; hate speech or content promoting violence against protected classes; graphic or disturbing imagery; content that violates third-party privacy rights (e.g., unauthorized doxxing); and any content that violates applicable law.

5.2 User Reporting

Users may report objectionable content through the "Report" function available on all user-generated content in the Application. WeMall will review reported content and take appropriate action within a reasonable timeframe. WeMall's moderation decisions are final and are not subject to external appeal except as required by applicable law.

5.3 No Moderation Obligation

WeMall's content moderation capabilities, while extensive, do not constitute a guarantee that all violating or harmful content will be detected and removed. WeMall shall not be liable for any harm arising from content that was not moderated or was moderated with delay. Users consume all user-generated content on the Platform at their own risk.

6. User-Generated Content License

6.1 Your Ownership of UGC

You retain ownership of any content you create and post on the Platform, including product reviews, photographs, and messages ("Your Content"), subject to the license granted below. By posting Your Content, you represent that: (a) you are the author or have the necessary rights to post such content; (b) the content does not violate any third-party rights, applicable law, or this EULA; and (c) the content is accurate and not intentionally misleading.

6.2 License Grant to WeMall for UGC

By posting Your Content, you grant WeMall a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully sublicensable license to use, reproduce, display, perform, adapt, translate, modify, distribute, publish, and create derivative works from Your Content for the purposes of operating, promoting, improving, and marketing the Platform and its services, across all media formats and channels now known or hereafter developed.

6.3 Moral Rights Waiver

To the fullest extent permitted by applicable law, you waive any moral rights or rights of attribution you may have in Your Content posted to the Platform.

7. In-App Purchases

7.1 Payment Platform Processor

All in-app purchases of physical products are processed through WeMall's integrated payment system. Purchases of virtual items, coins, premium features, or advertising credits may be processed through the App Store's payment platform (Apple Pay / Google Pay) in accordance with the relevant platform's payment terms. WeMall does not process in-app purchases routed through Apple or Google's payment systems; those transactions are governed exclusively by Apple's / Google's terms.

7.2 No Refunds for Virtual Items

Purchases of virtual currency, promotional credits, boosts, or any other virtual items are final and non-refundable. Virtual items have no cash value and cannot be exchanged for real money. WeMall reserves the right to modify, remove, or retire virtual items from the Platform at any time without compensation.

7.3 Subscription Services

If you subscribe to WeMall Premium or any other subscription service: (a) your subscription will automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date; (b) you may manage and cancel subscriptions through your device's App Store account settings; (c) WeMall is not responsible for refunding any portion of a subscription period already charged through the App Store โ€” such refund requests must be directed to Apple or Google as applicable.

8. Third-Party Services, SDKs & Links

The Application may contain links to third-party websites, services, or content, and may integrate third-party software development kits (SDKs) for analytics, push notifications, payment processing, mapping, or other functionality. WeMall does not control and is not responsible for the content, privacy practices, or conduct of any third-party service. Your interactions with third-party services are governed by those services' own terms and privacy policies. WeMall expressly disclaims any liability arising from your use of third-party services accessed through or integrated with the Application.

9. Push Notifications & Marketing Communications

By installing the Application and accepting notification permissions, you consent to receiving push notifications from WeMall, including: order status updates, delivery tracking alerts, promotional offers, flash sales, and platform announcements. You may opt out of promotional push notifications at any time through the App's notification settings or your device's notification management settings. Transactional notifications (order confirmations, delivery alerts, payment receipts) cannot be disabled while your account is active as they are essential to the service. WeMall is not liable for any notification delivery failures caused by your device settings, operating system, or network conditions.

10. Application Updates & Maintenance

WeMall may from time to time develop and release patches, bug fixes, updates, or new versions of the Application ("Updates"). WeMall may automatically update the Application on your device without prior notice if automatic updates are enabled in your device settings. WeMall is not obligated to maintain backward compatibility with older versions. WeMall reserves the right to discontinue support for older versions of the Application or older device operating systems with reasonable notice. Failing to install required Updates may result in loss of access to certain features or the entire Application.

11. Warranty Disclaimer

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WEMALL EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND WITH RESPECT TO THE APPLICATION, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WEMALL DOES NOT WARRANT THAT: (A) THE APPLICATION WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS; (B) THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM BUGS, VIRUSES, OR HARMFUL COMPONENTS; (C) THE APPLICATION WILL BE COMPATIBLE WITH YOUR DEVICE OR OPERATING SYSTEM; OR (D) DEFECTS IN THE APPLICATION WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES, SO CERTAIN EXCLUSIONS MAY NOT APPLY TO YOU.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WEMALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION: LOSS OF DATA, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, DEVICE DAMAGE, OR SERVICE INTERRUPTION ARISING FROM OR RELATED TO YOUR USE OR INABILITY TO USE THE APPLICATION. WEMALL'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THIS EULA SHALL NOT EXCEED FIFTY US DOLLARS ($50.00 USD) OR THE AMOUNT PAID BY YOU TO WEMALL IN THE TWELVE MONTHS PRIOR TO THE CLAIM, WHICHEVER IS LOWER.

13. DMCA Copyright Infringement Claims

If you believe that your copyrighted work has been reproduced or distributed through the Application in a way that constitutes copyright infringement, please provide WeMall's designated DMCA Agent with a written notice containing all of the following information as required by 17 U.S.C. ยง 512(c)(3):

  • An electronic or physical signature of the person authorized to act on behalf of the copyright owner.
  • A description of the copyrighted work claimed to be infringed.
  • A description of where the allegedly infringing material is located on the Application.
  • Your address, telephone number, and email address.
  • A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
  • A statement made under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.

14. Governing Law, Arbitration & Entire Agreement

14.1 Governing Law

This EULA is governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

14.2 Binding Arbitration

All disputes arising from or related to this EULA shall be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Class action waivers apply in full as set forth in WeMall's Customer Terms of Service, which is incorporated herein by reference.

14.3 Entire Agreement

This EULA, together with WeMall's Customer Terms of Service, Privacy Policy, and any other agreements referenced herein, constitutes the entire agreement between you and WeMall with respect to the Application and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties. If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. WeMall's failure to enforce any right or provision of this EULA will not be considered a waiver of those rights.
