📋 INDEPENDENT CONTRACTOR AGREEMENT — IMPORTANT
This Rider Services Agreement ("Agreement") is between WeFast Logistics Ltd. (a subsidiary of WeMall Inc., "WeFast," "Company," "we") and the individual delivery agent ("Rider," "you") accessing the WeFast Rider App. By downloading the App, accepting a delivery task, or receiving any payment from WeFast, you agree to be bound by this Agreement. YOU ARE AN INDEPENDENT CONTRACTOR, NOT AN EMPLOYEE.

This Agreement establishes the legal relationship between WeFast Logistics Ltd. and independent Riders who use the WeFast technology platform to connect with and fulfill delivery requests. By accepting any delivery task through the WeFast Rider App, you agree to the terms of this Agreement and acknowledge that you are operating as an independent contractor.
1. Independent Contractor Classification & Safeguards
NOTICE: YOU ARE NOT AN EMPLOYEE OF WEFAST OR WEMALL
This Agreement does not create an employer-employee relationship, joint venture, partnership, agency, franchise, or any other form of legal entity between WeFast and the Rider. WeFast does not control the manner in which Riders perform services. All Riders operate under their own direction and on their own account as independent business operators.
1.1 Freedom to Work Elsewhere
The Rider is expressly free to provide delivery or logistics services for any other company, platform, or client, including direct competitors of WeFast and WeMall, at any time. WeFast imposes no exclusivity requirement. The Rider sets their own schedule, determines their own working hours, and may accept or reject any delivery request at their discretion.
1.2 No Guaranteed Work or Minimum Earnings
WeFast does not guarantee any minimum number of delivery requests, minimum earnings, or minimum active hours. The availability of delivery requests may vary based on demand, geographic location, and platform conditions. WeFast is not responsible for any income shortfall experienced by a Rider.
1.3 Statutory Acknowledgment
The Rider acknowledges that: (a) they are responsible for all income taxes, self-employment taxes, and social security contributions on earnings received from WeFast; (b) they are not entitled to employment benefits including health insurance, pension contributions, paid leave, sick pay, or workers' compensation provided by WeFast; (c) they are responsible for all business expenses incurred in providing services, including vehicle maintenance, fuel, phone, and data costs.
2. Full Rider Indemnification & Accident Liability
2.1 Absolute Vehicle & Accident Liability
THE RIDER IS SOLELY AND ENTIRELY LIABLE FOR: (A) ALL ACCIDENTS, COLLISIONS, OR INCIDENTS INVOLVING THE RIDER'S VEHICLE WHILE ON OR OFF AN ACTIVE DELIVERY TASK; (B) ALL PERSONAL INJURIES, BODILY HARM, OR DEATHS CAUSED TO THIRD PARTIES, OTHER ROAD USERS, OR BYSTANDERS; (C) ALL PROPERTY DAMAGE CAUSED TO THIRD-PARTY VEHICLES, BUILDINGS, OR INFRASTRUCTURE; (D) ALL TRAFFIC VIOLATIONS, PARKING OFFENSES, TOLL EVASIONS, OR OTHER ROAD OFFENSES COMMITTED WHILE USING THE WEFAST APP; AND (E) ANY CRIMINAL CONDUCT COMMITTED BY THE RIDER WHILE EXECUTING OR PURPORTING TO EXECUTE A DELIVERY.
2.2 Complete Hold Harmless & Indemnification
The Rider agrees to fully indemnify, defend, and hold harmless WeFast, WeMall Inc., their parent companies, subsidiaries, affiliates, officers, directors, employees, agents, and insurers from and against any and all third-party claims, lawsuits, demands, regulatory actions, judgments, damages, fines, penalties, settlements, and legal costs (including reasonable attorneys' fees) arising from or connected to:
- The Rider's negligent, reckless, or intentional acts or omissions while performing delivery services.
- Any motor vehicle accident or incident involving the Rider's vehicle.
- The Rider's violation of any applicable traffic law, road safety regulation, or criminal statute.
- The Rider's improper handling, theft, or damage of customer parcels.
- The Rider's breach of any provision of this Agreement or applicable law.
- Any claim by a third party arising from the Rider's classification or operation as an independent contractor.
2.3 WeFast's Limited Secondary Coverage
WeFast may, at its sole discretion and in certain jurisdictions where legally required, maintain a contingent third-party liability insurance policy. This coverage is strictly secondary and only activates after the Rider's own primary commercial auto liability insurance limits are fully and completely exhausted. WeFast's secondary coverage is not guaranteed and does not reduce the Rider's primary liability obligations under this Agreement.
3. Insurance & Vehicle Requirements
3.1 Mandatory Insurance
The Rider MUST maintain, at their own expense, a valid and active commercial motor vehicle liability insurance policy with minimum coverage of: (a) $300,000 per occurrence for bodily injury liability; (b) $100,000 per occurrence for property damage liability. Personal auto insurance policies explicitly excluding commercial delivery activities do NOT satisfy this requirement. WeFast may verify insurance at any time and deactivate Riders who cannot provide proof of adequate commercial coverage.
3.2 Vehicle Roadworthiness
The Rider's vehicle must at all times: (a) hold a valid vehicle registration in the Rider's name or legally authorized in the Rider's name; (b) have passed the applicable periodic roadworthiness inspection; (c) be maintained in safe, functional, and road-legal condition; (d) not have any outstanding mandatory recalls that have not been remedied; and (e) comply with all applicable local emissions and safety standards.
3.3 Rider Licensing
The Rider must hold a valid driver's license applicable to the class of vehicle being operated, with no outstanding suspensions or revocations at any time. The Rider must immediately notify WeFast if their license is suspended, revoked, or otherwise restricted. Using the WeFast App while unlicensed or with a suspended license is a material breach of this Agreement.
4. Delivery Standards & Conduct
4.1 Professional Standards
While on the platform, the Rider agrees to: (a) behave professionally and courteously toward customers, merchants, and the general public; (b) wear identifiable attire or carry identification as specified by WeFast; (c) handle all parcels with appropriate care to prevent damage; (d) follow the delivery address and instructions provided in the App; (e) obtain proof of delivery (photo or signature) as required by the task specifications; and (f) not consume alcohol or any controlled substances while on an active delivery task.
4.2 Mobile Device & App Usage
The Rider is prohibited from using their mobile device in any manner that violates applicable traffic laws while operating a vehicle. All App interactions must be performed while the vehicle is stationary. WeFast is not liable for any accident caused by the Rider using the App while driving.
4.3 Reporting Obligations
The Rider must promptly report to WeFast via the App or support channel: (a) any accident or incident involving injury or property damage; (b) any parcel that appears damaged, tampered with, or suspicious; (c) any attempt by a customer or merchant to solicit the Rider to act outside the bounds of the delivery task; and (d) any technical failures in the App affecting delivery confirmation.
5. Customer Parcel Liability
5.1 Rider Parcel Responsibility
From the moment the Rider accepts custody of a parcel at the point of pickup, the Rider assumes full responsibility for its safekeeping until confirmed delivery. The Rider is liable to WeFast and/or the affected Seller for the verified replacement cost of any parcel that is: (a) lost, misplaced, or stolen while in the Rider's custody; (b) damaged due to the Rider's negligent handling; or (c) delivered to an incorrect address due to the Rider's error. Such amounts may be deducted from the Rider's pending earnings.
5.2 Prohibited Contents
The Rider must not knowingly accept or transport: illegal items, controlled substances, hazardous materials, live animals, stolen goods, or any items listed as prohibited by applicable law. If a Rider suspects a parcel contains prohibited items, they must refuse pickup and immediately report to WeFast support. Transporting prohibited items may result in immediate deactivation and criminal referral.
6. Background Check & Continuous Screening
As a condition of accessing the WeFast platform, all Riders must consent to and pass an initial criminal background check and motor vehicle record review, conducted by WeFast's authorized third-party screening provider. Riders with convictions for violent crimes, sexual offenses, drug trafficking, or serious traffic offenses (DUI/DWI within the past 5 years) will not be permitted access to the platform. WeFast reserves the right to conduct re-screening at any time and to deactivate any Rider whose background check reveals new disqualifying information.
7. Compensation & Payments
7.1 Earnings Calculation
The Rider is compensated on a per-delivery basis at rates determined by WeFast and visible in the Rider App. Rates may include a base fee, distance-based component, surge pricing during high-demand periods, and optional customer tips. WeFast reserves the right to modify rates at any time with 7 days' notice posted in the Rider App.
7.2 Payout Schedule
Earnings are disbursed weekly to the Rider's registered bank account or mobile money wallet, subject to a minimum payout threshold of $10. WeFast may withhold payouts if the Rider's account is under investigation, if there are unresolved parcel liability claims, or if any deductions are pending. Riders are responsible for ensuring their payment details are accurate; WeFast is not liable for misdirected payments due to Rider-provided incorrect details.
7.3 Tax Responsibility
The Rider is solely responsible for all taxes, duties, and levies applicable to their earnings, including income tax, self-employment tax, and any applicable VAT or GST. WeFast will provide annual earnings summaries (1099 or equivalent) as required by applicable law but does not withhold taxes on behalf of Riders.
8. Deactivation & Termination
WeFast may temporarily or permanently deactivate a Rider from the platform at any time, at its sole discretion, with or without cause and with or without prior notice. Grounds for deactivation include but are not limited to: low acceptance rate, low satisfaction rating, safety incidents, policy violations, failed background re-screening, or fraudulent activity. Deactivated Riders are not entitled to compensation for lost future earnings. Appeals may be submitted through the Rider support channel within 30 days of deactivation.
9. GPS, Biometric & Data Tracking Consent
By using the WeFast Rider App, the Rider irrevocably consents to: (a) continuous, real-time collection of precise GPS location data while the App is open, and background location data while the App is running in the background or closed during active delivery status; (b) collection of device motion and sensor data for fraud prevention and route verification; (c) storage and analysis of all delivery data, route history, and performance metrics by WeFast; (d) sharing of aggregate anonymized location data with logistics partners, urban planners, and analytics providers. This data is governed by WeFast's Privacy Policy and applicable data protection laws.
10. Arbitration & Labor Dispute Waiver
⚠️ LABOR CLASS ACTION & MISCLASSIFICATION WAIVER
THE RIDER EXPRESSLY WAIVES ANY RIGHT TO FILE, JOIN, OR PARTICIPATE IN ANY CLASS ACTION LAWSUIT, COLLECTIVE ACTION, REPRESENTATIVE PAGA ACTION, OR ANY OTHER PROCEEDING ALLEGING EMPLOYEE MISCLASSIFICATION, FAILURE TO PAY MINIMUM WAGE, DENIAL OF BENEFITS, OR ANY OTHER EMPLOYMENT-RELATED CLAIM AGAINST WEFAST OR WEMALL. ALL SUCH CLAIMS MUST BE BROUGHT INDIVIDUALLY THROUGH BINDING ARBITRATION ADMINISTERED BY THE AAA.
The Rider acknowledges and agrees that any dispute arising from this Agreement, including any challenge to the Rider's classification as an independent contractor, shall be resolved exclusively through final and binding individual arbitration. The Rider waives all rights to a jury trial and to participate in any collective proceeding. The arbitration award shall be final and enforceable in any court of competent jurisdiction.
11. Confidentiality
The Rider agrees not to disclose to any third party: (a) WeFast's pricing algorithms, commission structures, or internal dispatch logic; (b) customer personal information accessed through the App, including addresses and phone numbers, except as necessary to complete the delivery; (c) any confidential business information of WeFast or WeMall that comes to the Rider's attention. Violation of this clause is grounds for immediate deactivation and may subject the Rider to civil liability.
12. Governing Law
This Agreement is governed by the laws of the State of Delaware, United States, and locally applicable labor and transportation regulations. WeFast reserves the right to amend this Agreement at any time with notice delivered via the Rider App. Continued use of the App following such notification constitutes acceptance. The Rider's sole remedy upon disagreement with any amendment is to cease using the platform.
